("Provident") from presenting the third proposal ("Proposal 3") in its proxy statement furnished on Schedule 14A (defined below) on March 15, 2019 (the "Solicitation") for a vote at the annual meeting of Provident shareholders scheduled for April 25, 2019, unless Provident timely supplements its Solicitation with the information required by Items l0(a)(l) and 10(b)(2)(i) of 17 C.F.R. 240.14a-101 ("Schedule 14A"), promulgated by the U.S. Securities and Exchange Commission, as set forth in the accompanying memorandum of law, or (ii) alternatively, if the meeting has been held by the time this motion by order to show cause has been heard and ruled upon enjoining Provident from certifying or otherwise accepting any vote cast, by proxy or in person, for or on behalf of any Provident stockholder in connection with the Proposal 3. ORDERED that, defendant shall electronically file its opposition papers by 5:00 P.M. on the 11th day of April 2019 and plaintiff electronically file his reply papers by 5:00 P.M. on the 15th day of April 2019.
