ORDER denying as unnecessary #14 Motion for Pre Motion Conference. The premotion conference is waived. This letter is deemed to constitute defendant's motion to dismiss. As to that motion, it is denied for the following reasons: (1) A borrower and guarantor are not indispensable parties in an action against another guarantor. Whether defendant wants to implead third parties has nothing to do with a motion to dismiss. (2) Two loans are not the kind of continuous and regular conduct of business that requires registration. They are isolated and occasional transactions. (3) The Guaranty and Amendment to Guarantee (the latter referred to by defendant as the "Second Guaranty") filed on the docket are both signed by defendant. The fact that the Amendment has an unsigned page for a counter-party has no bearing on the effectiveness of the guarantee.Defendant's counsel should exercise caution before filing any more frivolous motions.
