Filing 40 ORDER ADOPTING REPORT AND RECOMMENDATION - Based on the foregoing (SEE ATTACHED ORDER for details), the Court adopts Judge Locke's well-reasoned 36 R&R in its entirety as the opinion of this Court. Accordingly, Defendant's 28 motion fo r judgment on the pleadings is GRANTED, and the Second Amended Complaint is dismissed with prejudice and without leave to replead.
