STIPULATION AND ORDER; Con Edison shall file and serve an amended complaint within one week after this Stipulation is approved by the Court and notice of approval is received by the parties. NU agrees to assert the claims made in the NU Complaint as a counterclaim in the Con Edison Action. Accordingly, within one week after service of the Amended Complaint, NU shall file and serve a counterclaim and answer in response to the Amended Complaint, which may be contained in separate documents, and NU and Con Edison shall promptly thereafter submit to the Court a stipulation of voluntary dismissal, without prejudice, of the NU Action. Con Edison shall file and serve its reply to NU's counterclaim within one week after NU serves its counterclaim and answer. Should Con Edison elect to include in its Amended Complaint information that NU considers confidential, Con Edison shall file the Amended Complaint under seal and file a redacted version of the Amended Complaint in the public record. The filing of the Amended Complaint under seal together with a redacted version thereof in the public record shall be without prejudice to either party's right to oppose or support any application by any non-party to cause the Amended Complaint to be unsealed; provided, however, that neither the filing of the Amended Complaint nor execution of this stipulation shall be deemed to be a waiver of or limitation on NU's right to assert any and all claims that it may have against Con Edison arising out of the inclusion in the Amended Complaint of information that NU considers confidential.
