December 10, 2009 Opinion or Order Filing 25 MEMORANDUM OPINION AND ORDER,#98341 that for the foregoing reasons, the defendant's motion to dismiss is granted. The complaint is therefore dismissed without prejudice for lack of jurisdiction. The Court has considered all of the parties' arguments. To the extent not specifically addressed, the arguments are either moot or without merit. There is an outstanding motion by the plaintiff to request counsel (Docket No. 19). There is no basis to appoint counsel because the plaintiff has fa iled to show that her claim is likely to have merit. Cooper v. A. Sargenti Co., 877 F.2d 170, 171-74 (2d Cir. 1989). Therefore, the plaintiff's application for the appointment of counsel is denied. The Clerk is directed to close Docket No. 19. The Clerk is directed to enter judgment and to close this case.
