FINAL JUDGMENT AND ORDER GRANTING FINAL APPROVAL OF SETTLEMENT WITH BARCLAYS PLC, BARCLAYS BANK PLC, AND BARCLAYS CAPITAL INC. NOW, THEREFORE, IT IS HEREBY ORDERED, ADJUDGED AND DECREED: This Court has subject matter jurisdiction over this Action and , solely for purposes of effectuating the Barclays Settlement and subject to the express limitations contained in the Barclays Settlement Agreement, personal jurisdiction over Non-Defendant OTC Plaintiffs, Barclays, and all Barclays Class Members. Al l terms in initial capitalization used in this Final Judgment and Order shall have the same meanings as set forth in the Barclays Settlement Agreement, unless otherwise defined herein. Upon review of the record, including the orders preliminarily app roving the Barclays Settlement and the submissions in support of the Settlements and preliminary approval, the Court finds that the Barclays Settlement resulted from arm's-length negotiations between highly experienced counsel and falls within the range of possible approval. ORDER GRANTING NON-DEFENDANT OTC PLAINTIFFS' COUNSEL AN AWARD OF ATTORNEYS' FEES AND REIMBURSEMENT OF LITIGATION EXPENSES, AND SERVICE AWARDS TO THE NON-DEFENDANT OTC PLAINTIFFS: granting (3122) Motion to Approve ; granting (3125) Motion for Attorney Fees in case 1:11-md-02262-NRB; granting (236) Motion to Approve ; granting (239) Motion for Attorney Fees in case 1:12-cv-05822-NRB; granting (218) Motion to Approve ; granting (221) Motion for Attorney Fees in case 1:12-cv-06693-NR B. IT IS HEREBY ORDERED THAT: Terms used in this Order that are defined in the Settlement Agreements are, unless otherwise defined herein, used in this Order as defined in the Settlement Agreements. Non-Defendant OTC Plaintiffs' Counsel shall re ceive $6,097,000.00 in attorneys' fees to be paid pro rata out of the $21,775,000 settlement fund (Settlement Fund) created by the settlements between the Non-Defendant OTC Plaintiffs and HSBC Bank plc, JPMorgan Chase & Co., JPMorgan C hase Bank, N.A. (collectively JPM), Bank of America Corporation, Bank of America, N.A. (collectively BOA) and Citibank, N.A. (Citi). If the attorneys' fees award is not paid within five business days from the date of this order, then Non-Defend ant OTC Plaintiffs' Counsel shall be entitled to interest on the foregoing attorneys' fees award, accruing from entry of this Order until paid, at the same rate earned by the Settlement Fund. Non-Defendant OTC Plaintiffs' Counsel shall be reimbursed $42,697.66 in costs and expenses reasonably incurred in the prosecution and settlement of this litigation, to be paid out of the settlement fund. If the reimbursement of litigation expenses is not paid within five business days fr om the date of this order, then Non-Defendant OTC Plaintiffs' Counsel shall be entitled to interest on the foregoing expense reimbursement, accruing from entry of this Order until paid, at the same rate earned by the Settlement Fund. Plaintiff 3 3-35 Green Pond Road Assoc. LLC is awarded the sum of $10,000, andplaintiffs Courtyard at Amwell II, LLC, Greenwich Commons II, LLC, Jill Court Associates II, LLC, Maidencreek Ventures II LP, Raritan Commons, LLC, and Lawrence W. Gardner (collec tively the Courtyard at Amwell Plaintiffs) awarded the sum of $10,000, as reasonable costs and expenses and as a service award directly relating to the representation of the Non-Defendant OTC Plaintiffs class. The Courtyard at Amwell Plaintiffs shall have the sole authority to allocate and distribute the service award amongst themselves. And as set forth herein. IT IS SO ORDERED..
