November 13, 2015 Opinion or Order Filing 137 FINAL JUDGMENT AND ORDER OF DISMISSAL WITH PREJUDICE in favor of Ellsworth Investments Limited, Eileen M Vermilyea, Phoebe Saad, Zhong Hua Zhang against Baker Tilly Hong Kong, Sinohub, Inc., Baker Tilly Hong Kong, Daniel Chi Keung Jui, Daniel Chi Keung Lui, Daniel Chi Keung Lui, De Hui Li, De Hui Li, Henry T. Cochran, Lei Xia. THE COURT HEREBY FINDS AND ORDERS AS FOLLOWS: 1. The provisions of the Stipulation, including definitions of the terms used therein, are hereby incorporated by reference as though fully set forth herein. 2. This Court has jurisdiction over the subject matter of the Litigation and over all parties to the Litigation, including all members of the Class. 3. The Court confirms the appointment of Lead Plaintiff Ellsworth Investments Limited as Class Representative for the Class, and the law firm of Scott+Scott, Attorneys at Law, LLP as Lead Counsel for the Class. 4. The Court finds that all of the requirements for class certification under Rule 23 of the Federal Rules of Civil Procedure are met, and therefore this Litigation is properly maintained as a class action for purposes of settlement only and the Class is properly certified. The Class is defined as further set forth in this Order. 5. With respect to the Class, the Court finds that the requirements of Federal Rules of Civil Procedure 23(a) and 23(b)(3) have been satisfied as follows: (a) the members of the Class are so numerous that joinder of all Class Members in the Action is impracticable; (b) the Settlement presents common questions of law and fact to the Class which predominate over any individual questions; (c) the claims of the Lead Plaintiff are typical of the claims of the Class; (d) Lead Plaintiff and its counsel have fairly and adequately represented and protected the interests of all of the Class Members; and (e) a class action is superior to other available methods for the fair and efficient adjudication of the controversy, considering: (i) the interests of the members of the Class in individually controlling the prosecution of separate actions; (ii) the extent and nature of any litigation concerning the controversy already commenced by members of the Class; (iii) the desirability or undesirability of continuing the litigation of these claims in this particular forum; and (iv) the difficulties likely to be encountered in the management of the class action. 6. The form, content, and method of dissemination of Notice given to the Class was adequate and reasonable and constituted the best notice practicable under the circumstances, including individual notice to all members of the Class who could be identified through reasonable effort. 7. Notice, as given, fully satisfied the requirements of Rule 23 of the Federal Rules of Civil Procedure, satisfied the requirements of due process, and constituted due and sufficient notice of the matters set forth herein. 8. Pursuant to Federal Rule of Civil Procedure 23, this Court hereby approves the settlement set forth in the Stipulation and finds that the Settlement is, in all respects, fair, reasonable, and adequate to the Settling Parties. The Court further finds that the Settlement set forth in the Stipulation is the result of arm's-length negotiations between experienced counsel representing the interests of the Settling Parties. Accordingly, the settlement embodied in the Stipulation is hereby finally approved in all respects. The Settling Parties are hereby directed to perform its terms. 9. Except as to any individual claim of those Persons who have validly and timely requested exclusion from the Class, the Litigation and all claims contained therein, as well as all of the Released Claims, are dismissed with prejudice as to the Lead Plaintiff and the other members of the Class, and as against the Released Persons. 10. All Class Members who have not made their objections to the Settlement in the manner provided in the Notice are deemed to have waived any objections by appeal, collateral attack, or otherwise. 11. Upon the Effective Date of this Settlement, Lead Plaintiff and all Class Members: (i) shall be deemed to have, and by operation of the Final Judgment shall have, fully, finally, and forever waived, released, relinquished, and discharged all Released Claims against the Released Persons, regardless of whether such Class Member executes and delivers a Proof of Claim; (ii) shall forever be enjoined from prosecuting any Released Claim against any of the Released Persons; and (iii) shall be deemed to have agreed and covenanted not to sue any of the Released Persons on the basis of any Released Claims or to assist any third-party in commencing or maintaining any suit related to any Released Claims. 12. Upon the Effective Date of this Settlement, each of the Defendants and the Released Persons: (i) shall be deemed to have, and by operation of the Final Judgment shall have fully, finally, and forever released and discharged Lead Plaintiff, Lead Counsel and each and all of the Class Members from each and every one of the Released Defendants' Claims; (ii) shall forever be enjoined from prosecuting the Released Defendants' Claims; and (iii) shall be deemed to have agreed and covenanted not to sue on the basis of any Released Defendants' Claims or to assist any third-party in commencing or maintaining any such suit related to any Released Defendants' Claims. 13. If for any reason the Effective Date, as defined in paragraph 1.9 of the Stipulation, does not occur, this conditional certification of the Class shall be deemed null and void without the need for further action by the Court or any of the Settling Parties. In such circumstances, each of the Settling Parties shall retain its currently existing rights to seek or to object to the certification of this Action as a class action under Federal Rule of Civil Procedure 23, or any state or federal rule, statute, law, or provision, and to contest and appeal any grant or denial of certification in this Action or in any other litigation on any other grounds. 14. The Court finds that the Plan of Distribution set forth in the Notice is approved as fair and reasonable, and Plaintiff's Counsel are directed to arrange for the administration of the Settlement in accordance with its terms and provisions. Any modification or change in the Plan of Distribution that may hereafter be approved shall in no way disturb or affect this Final Judgment or the releases provided hereunder and shall be considered separate from this Final Judgment. Pursuant to Section 5.9 of the Stipulation, if there is any balance remaining in the Net Settlement Fund after all distributions are made, Class Counsel and Defendants shall file a motion to distribute any remaining balance to a secular 50l(c)(3) non-profit organization which shall be selected and approved by the Court. 15. There is no just reason for delay in the entry of this Final Judgment and Order and immediate entry by the Clerk of the Court is expressly directed pursuant to Rule 54(b) of the Federal Rules of Civil Procedure. November 13, 2015 Opinion or Order Filing 136 ORDER AWARDING ATTORNEYS' FEES, EXPENSE REIMBURSEMENT, AND SERVICE AWARD granting (132) Motion for Attorney Fees in case 1:12-cv-08478-WHP. THE COURT HEREBY FINDS AND ORDERS AS FOLLOWS: 1. The provisions of the Stipulation, including definitions of the terms used therein, are hereby incorporated by reference as though fully set forth herein. 2. This Court has jurisdiction over the subject matter of the Litigation and over all parties to the Litigation, including all members of the Class. 3. Lead Counsel are hereby awarded 25% of the Settlement Fund (after deduction of reimbursable expenses) in fees, which sum the Court finds to be fair and reasonable, and $50,000 in reimbursement of expenses, which fees and expenses shall be paid immediately upon entry of this Order to Lead Counsel from the Settlement Fund. 4. The Court finds that an award of attorneys' fees under the percentage-of-recovery method is proper in this case, and further finds that the requested fee is fair, reasonable, and consistent with awards made in similar cases. Furthermore, the Court has reviewed the factors set forth in Goldberger v. Integrated Res., Inc., 209 F.3d 43 (2d Cir. 2000), and finds that they support the award. The Court has also performed a rough lodestar cross-check and finds that the hours and rates are reasonable for the amount and specialized type of work performed. Moreover, the multiplier is well within the range of reasonableness. 5. The Court finds, that an award pursuant to 15 U.S.C. 78u-4(a)(4) to Lead Plaintiff for its reasonable costs and expenses (including lost wages) spent directly in its representation of the Class and prosecution of this action is fair and reasonable, and thus, awards Lead Plaintiff Ellsworth Investments $5,000 from the Settlement Fund. The facts supporting reimbursement and the amount awarded are set forth in the declaration Lead Plaintiff submitted to the Court in support of its request. (Signed by Judge William H. July 22, 2015 Opinion or Order Filing 129 ORDER PRELIMINARILY APPROVING SETTLEMENT AND PROVIDING FOR NOTICE granting #101 Motion to Approve (Preliminary) Class Action Settlement; granting #124 Motion to Approve (Preliminary) Class Action Settlement. IT IS HEREBY ORDERED: The Court does hereby preliminarily certify a Class of all Persons or entities that purchased or otherwise acquired SinoHub's common stock during the Class Period. Excluded from the Class are the Defendants, officers, and directors of the Company, as well as their families and the families of the Defendants, those holding 5% or more of SinoHub's outstanding shares, and any member of the Class who has validly and timely requested exclusion from the Class. Lead Plaintiff Ellsworth Investments Limited is preliminarily certified as Class Representative for the Class, and the law firm of Scott+Scott, Attorneys at Law, LLP is preliminarily appointed Lead Counsel for the Class.
