Filing 167 OPINION AND ORDER re: 161 MOTION for Leave to File Fifth Amended Complaint, filed by NRW, Inc. Plaintiff's request to file its proposed Fifth Amended Complaint is denied. The operative pleading remains the claims from the Fourt h Amended Complaint that survived the Court's September 10 Opinion. IT IS FURTHER ORDERED THAT, by July 1, 2015, the parties shall submit either (1) a joint letter apprising the Court of whether further discovery is necessary, (2) if the parties contemplate moving for summary judgment, premotion letters in accordance with the Court's Individual Practices, or (3) a joint letter apprising the Court of the parties' availability for trial. Filing 150 OPINION AND ORDER re: 111 MOTION to Dismiss Plaintiff's Third Amended Complaint filed by Made Event, LLC, Mike Bindra, EZ Festivals, LLC, Laura De Palma, Mister Ed Productions, Ltd., Sala Corporation. For the reasons s tated above, IT IS HEREBY ORDERED THAT: 1. Defendants' motion to dismiss NRW's breach of contract claim is DENIED to the extent NRW alleges that Defendants breached by failing to share profits from Zoo 2009 and to execute the security agree ment contemplated by section 5 of the Letter Agreement, and GRANTED in all other respects; 2. Defendants' motion to dismiss NRW's alter ego claim is DENIED; and 3. Defendants' motion to dismiss NRW's fraudulent transfer claim is G RANTED. The Clerk of the Court is respectfully directed to terminate the motion pending at Doc. No. 111. IT IS FURTHER ORDERED THAT the parties shall appear on October 10, 2014, at 11:00 a.m. for a pre-motion conference on NRW's contempl ated motion to amend. At the conference, the parties should be prepared to discuss whether either party seeks to enforce the arbitration agreement contained in section 9 of the Letter Agreement.
