ORDER: On June 30, 2014, the Court issued an Order granting Plaintiff leave to file a Second Amended Complaint ("SAC") and accepting the proposed SAC as the operative complaint in this case. The Court also denied Defendant Quinn Emanuel's request that all submissions related to Plaintiff's motion to file a SAC be filed under seal; in Defendant's view, these submissions and the SAC contained privileged work product. Although the Court ordered Plaintiff to file the SAC without redaction, it gave the parties the opportunity to submit redacted versions of the letters related to Plaintiff's motion and justifications for the proposed redactions.... The Court thus concludes that redactions are appropriate with respect to the June 24, 2014 letter. The first redaction Quinn Emanuel proposes in that letter relates to the same material that appears in the SAC; for the reasons described above, redaction is not appropriate with respect to that material. The Court agrees in part with Quinn Emanuel's second set of redactions, but will limit them considerably in light of the Second Circuit's instruction that redactions should be "narrowly tailored." Lugosch, 435 F.3d at 119-20. In particular, the Court will redact two phrases that contain case-specific statements. The redacted version of Quinn Emanuel's June 24, 2014 letter will be filed as an attachment to this Order. Plaintiff shall file on ECF, in unredacted form, the following submissions: its June 23, June 25, and July 1, 2014 letters (with attachments). Defendant shall file its July 7, 2014 letter in unredacted form, and shall include as exhibits its proposed redactions. Finally, the Court notes that Defendants have stated their intention to move for summary judgment. Documents submitted in connection with this potentially-dispositive motion will be subject to a strong presumption of access. See id. at 122 ("[D]ocuments used by parties moving for, or opposing, summary judgment should not remain under seal absent the most compelling reasons."). ORDER. Plaintiff's motion to file a SAC is granted, and the proposed SAC - which the Court dockets with this Order - shall be the operative complaint. Quinn Emanuel's request for leave to file a second motion to dismiss, however, is denied. Whether Plaintiff engaged in the practice of law is a question that will be decided on summary judgment, and the parties shall continue to engage in the limited discovery that the Court ordered on December 11, 2013. Additionally, as noted above, the SAC shall be publicly docketed. Although the Court also intends to docket the parties' letters and is not inclined to permit them to be filed in redacted form, it will give the parties an opportunity to submit proposed redacted versions. Those proposed redactions should be submitted by July 7, 2014, and must be accompanied by an explanation of why the redactions are consistent with the "presumption of immediate public access" the Second Circuit has held must be afforded to judicial documents. Lugosch v. Pyramid Co. of Onondaga, 435 F.3d 110, 119-20 (2d Cir. 2006). Discovery shall continue under the supervision of Judge Fox, and the parties shall notify the Court of the deadline for the completion of discovery and propose a schedule for summary judgment briefing.
