September 29, 2015 Opinion or Order Filing 57 OPINION & ORDER re: (42 in 1:14-cv-00736-VEC) MOTION to Dismiss Plaintiffs' Second Consolidated Amended Complaint. filed by Ronadl E. Pipoly, Jr., Barry D. Zyskind, Amtrust Financial Services, Inc. The Amended Complaint fails ade quately to allege actionable misstatements or omissions necessary to state claims pursuant to §§ 10(b) and 20(a) of the Exchange Act and § 11 of the Securities Act and fails adequately to allege scienter necessary to state claims pur suant to §§ 10(b) and 20(a). Accordingly, Defendants' motion to dismiss is GRANTED. The Clerk of Court is requested to terminate No. 14-cv-736 and all pending motions therein, and the consolidated action, No. 14-cv-945.
