P. 12(b)(1) motion to dismiss for lack of subject matter jurisdiction, and GRANTS Atkore's Fed. R. Civ. P. 12(b)(6) motion to dismiss for failure to state a claim, with leave to amend. Plaintiff has until Mon day, September 28, 2015 to file its amended pleading. Thereafter, the parties should meet and confer to prepare and submit a civil case management plan.
