OPINION AND ORDER re: 28 MOTION to Dismiss Second Amended Complaint filed by Success Apparel LLC, Gila Goodman, Americo Group Inc.: For the reasons stated above, Defendants' motion to dismiss is GRANTED in part and DENIED in part. Specifically, Plaintiff's fraudulent conveyance claims (Counts Six, Eight, and Ten) are dismissed, while Plaintiff's alter ego and de facto merger claims (Counts Seven and Nine) survive.
