MEMORANDUM & OPINION: For the foregoing reasons, Defendants' motion to dismiss the Amended Complaint is GRANTED with regard to Counts XII and XIII, and DENIED with regard to Counts I through XI. Plaintiff's motion to dismiss the Counterc laims is GRANTED and Defendants' Counterclaims are dismissed without prejudice to such claims being asserted in state court.
