Filing 142 MEMORANDUM AND ORDER granting in part and denying in part 124 Motion to Dismiss; granting in part and denying in part 127 Motion to Dismiss; granting in part and denying in part 130 Motion to Dismiss. Defendants Uchimoto, Newman, and Erbek h ave moved to dismiss the claims against them. (As further set forth in this Order.) For the above mentioned reasons, defendants' motions to dismiss the Second Amended Complaint are DENIED in part and GRANTED in part. Specifically, all claims a gainst William Uchimoto are dismissed. The SEC's claims against Robert Newman for violations of Section 17(a)(2) are similarly dismissed. All other claims against the defendants survive. If the SEC seeks to replead any portion of the complaint, it shall move to amend within 21 days of this Order annexing a proposed amended complaint marked to show changes. (Signed by Judge P.
