The motion is denied with respect to both of Orion's breach of contract counterclaims ( Counts I & II). The motion is granted with respect to Orions fraud counterclaim (Count III). Orion may amend its fraud counterclaim to cure the deficiencies identified in this order within 30 days. The Clerk of Court is directed to terminate the motion pending at ECF No. 44.
