The Court has reviewed de novo those portions of the R&R to which Plaintiffs and Metlife proper ly object and has reviewed the remainder of the R&R for clear error. For the reasons stated above, the Court ADOPTS the R&R in its entirety. Plaintiffs' fraud claim is DISMISSED without prejudice to refiling as an individual action and Plain tiffs' breach of contract claim is DISMISSED without prejudice to refiling as a class or individual action, provided that the second amended complaint complies with SLUSA.
