The Court has reviewed de novo those portions of the R&R to which Plaintiff and Defendant pr operly object and has reviewed the remainder of the R&R for clear error. For the reasons stated above, the Court ADOPTS the R&R in its entirety. Defendant's motion to dismiss is GRANTED on the ground that the claims asserted in the Underlyin g Action are all based on the 2006 Agreement to which Defendant's insured, Plaintiff, was a party. The Clerk of Court is directed to terminate the motion at ECF No. 29 and to close the case. (As further set forth in this Order.)
