It is ORDERED that the above-entitled action be and is hereby dismissed and discontinued without costs, and without prejudice to the right to reopen the action within thirty days of the date of this Order if the settlement is not consummated. To be clear, any application to reopen must be filed within thirty days of this Order; any application to reopen filed thereafter may be denied solely on that basis. Further, if the parties wish for the Court to retain jurisdictio n for the purposes of enforcing any settlement agreement, they must submit the settlement agreement to the Court within the same thirty day period to be "so ordered" by the Court. Per Paragraph 4(B) of the Court's Individual Rules a nd Practices for Civil Cases, unless the Court orders otherwise, the Court will not retain jurisdiction to enforce a settlement agreement unless it is made part of the public record. The denials are without prejudice to Defendants raising arguments related to those discussed here in subsequent stages of the proceedings. Because this is the first adjudication of Plaintiffs claims, the dismissals are without prejudice. Plaintiff may file a third amended complaint within 30 days of the date of this Opinion. The third amended complaint should contain appropriate changes to remedy the deficiencies in this Opinion. Plaintiff is advised that the third amended complaint will replace, not supplement, the SAC, and therefore must contain all of the claims, factual allegations, and exhibits that Plaintiff wishes the Court to consider. If Plaintiff fails to abide by the 30-day d eadline, the dismissals without prejudice may be converted to dismissals with prejudice, and Plaintiff's case will proceed with only the surviving claims.
