December 10, 2018 Opinion or Order Filing 24 CONSENT JUDGMENT: Accordingly, IT IS HEREBY ORDERED: On Count I of the Complaint, Final Judgment is hereby granted and entered in favor of Plaintiff and against the Defendants, jointly and severally, in the amount of $697,530.23, plus further attorney's fees and costs, and post-judgment interest at the statutory rate of 0.75% per month (9% APR), until the entire judgment is paid in full (hereinafter the "Outstanding Indebtedness", less any sums recovered under any other Counts of the Complaint or the Parties' forbearance agreement, if any and further set forth in this Order. The amount of this Judgment, with a corresponding credit given for all sums Plaintiff actually receives in partial satisfaction hereof, is hereby expressly founded upon the Company's violation of PACA and relevant state law and upon Principal's breach of his fiduciary duties and, as such, is hereby excepted and excluded from any discharge of personal liability which he may seek in any proceedings under Title 11, United States Code pursuant to 11 U.S.C. 523(a)(4). Produce Pay shall be entitled to recover any further interest and costs, including reasonable attorneys' fees, incurred until such time as this Judgment is fully satisfied. Produce Pay shall be entitled to all writ(s) and process necessary to enforce this Judgment. Based on the Parties' Stipulation, this is a final appealable order of Judgment that is exempted from any type of stay (automatic or otherwise) of enforcement or execution pursuant to Fed.R.Civ.P. 62. This is a final judgment and Defendants hereby forever waive and release any right to appeal this final judgment. All parties acknowledge and agree to the terms of this Consent Judgment and intend to be legally bound thereby as evidenced by their agreement on the record and lack of objection by the Court-imposed deadline of today at 5 p.m. (See Docket No. 22). December 7, 2018 Opinion or Order Filing 22 ORDER re: #21 Letter filed by Produce Pay, Inc. Defendants consented to judgment on the record at a hearing on November 16, 2018, subject to certain conditions discussed on the record at that hearing. As Plaintiff points out in its letter, that consent was the premise of the Court's dissolution of the temporary restraining order freezing Defendants' assets, and for its denial of Plaintiff's motion for a preliminary injunction as moot. The initial deadline for the parties to submit their proposed consent judgment, as agreed to by the parties on the record, was November 30, 2018; the Court extended that deadline at the parties' request to December 7, 2018. Docket No. 20. Plaintiff now represents that Defendants have failed to respond to repeated requests to provide their consent or objections to the form of the proposed consent judgment. In light of the foregoing, Defendants shall file a letter lodging any objections to the terms of the proposed consent judgment appended to Plaintiff's letter no later than Monday, December 10, 2018, at 5:00 p.m. If the Court does not receive any communication from Defendants by that time, it will deem Defendants to have consented to the form and terms of this proposed consent judgment, and will sign and enter the proposed judgment without further notice. November 9, 2018 Opinion or Order Filing 7 ORDER TO SHOW CAUSE FOR PRELIMINARY INJUNCTION AND TEMPORARY RESTRAINING ORDER: Upon the affidavits of Benjamin Dusastre and Lucas A. Markowitz, Esq., sworn to the 7th and 9th Day of November, 2018, respectively, and upon the copy of the Complaint hereto annexed, it is ORDERED, that the above named Defendants show cause before a motion term of this Court, at Room 1105, United States Courthouse, 40 Centre St. in the City, County and State of New York, on November 16, 2018 at 1:00 o'clock in the afternoon thereof, or as soon thereafter as counsel may be heard, why order(s) should not be issued pursuant to Rule 65 of the Federal Rules of Civil Procedure enjoining Defendants during the pendency of this action as follows: 1. Ordering NYC Trucking Corporation (the "Company") not to pay, withdraw, transfer, assign or sell any and all existing PACA trust assets or otherwise dispose of corporate assets to any creditors, persons or entities until further Order of this Court, or until the Company deposits into the Registry of this Court the sum of $697,530.23 or such other amount as the Court determines appropriate in light of the existence of other potential unpaid PACA trust beneficiaries; 2. Further, pending further order of this Court, or until such time as the Defendants deposit into the Registry of this Court the sum of not less than $697,530.23, no banking institution holding funds for the Company shall pay, transfer or permit assignment or withdrawal of the corporate assets of the Defendants without this Court's express written approval; and it is further ORDERED that, sufficient reason having been shown therefor, pending the hearing of Plaintiff's application for a preliminary injunction, pursuant to Rule 65, Fed. R. Civ. P., the Defendants are temporarily restrained and enjoined as follows: 1. The Company is enjoined from paying, withdrawing, transferring, assigning or selling any and all existing PACA trust assets or otherwise dispose of corporate assets to any creditors, persons or entities until further Order of this Court, or until the Company deposits into the Registry of this Court the sum of $697,530.23 or such other amount as the Court determines appropriate in light of the existence of other potential unpaid PACA trust beneficiaries; and it is further ORDERED that personal service of a copy of this order and annexed affidavit and supporting papers upon the Defendants or their counsel on or before 10:00 o'clock in the forenoon, November 13, 2018, shall be deemed good and sufficient service thereof.
