STIPULATION AND ORDER STAYING PROCEEDINGS: NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED by and between the parties, subject to approval of the Court, as follows: 1. Counsel for Defendants accepts service of the Complaint on behalf of each of the Defendants, but each Defendant expressly reserves all rights, defenses, or other objections other than insufficient process or insufficient service of process. 2. The Derivative Action, including motion practice, discovery and all other proceedings, shall be stayed for 60 days from entry of this order. In accordance with the stay: (i) Defendants need not respond to the Complaint; (ii) all applicable deadlines shall be postponed; and (iii) Plaintiff will not later argue that the stay has prejudiced prosecution of the claims asserted in the Derivative Action, and as further set forth in this stipulation.
