| Filing 10 STIPULATION FORA STAY OF PROCEEDINGS: NOW, THEREFORE, the Parties hereby agree, subject to approval of this Court, as follows: 1. This proceeding shall be stayed pending the final outcome of the appeal pending before the Court of Appeal; 2. The Parties shall retain all rights and defenses in this proceeding, including any challenges to the jurisdiction of this Court and the courts of Italy; 3. The Parties will promptly notify the Court once the pending appellate proceedings in Italy have concluded to request a lifting of the stay, without prejudice to: (i) Vimeo's right to seek a further stay of proceedings pending a final decision on the Rome Judgment that becomes final and no longer subject to any further appeal under Italian law, and (ii) RTI's right to oppose any request for a further stay; and 4.
