STIPULATION AND ORDER CONSOLIDATINGRELATED DERIVATIVE ACTIONS AND APPOINTING CO-LEAD COUNSEL. IT IS HEREBY STIPULATED AND AGREED by the Parties hereto, through their undersigned counsel, as follows: The following actions shall be consolidated for all purposes, including pre-trial proceedings and trial, into one action, the Consolidated Derivative Action as further set forth in this Order. Every pleading filed in the Consolidated Derivative Action, or in any separate actions included herein, shall bear the following caption as further set forth in this Order. The files of the Consolidated Derivative Action will be maintained in one file under Lead Case No. 21-cv-4380-JMF. This Order shall apply to any purported stockholder derivative action on behalf of nominal defendant Ebix, Inc., arising out of the same or substantially the same transactions or events as the Consolidated Derivative Action that is subsequently filed in, removed to, or transferred to this Court ("Related Action"). The previously ordered stay of the Calvo Action (ECF No. 18) shall apply to the Consolidated Derivative Action. Co-Lead Counsel shall be responsible for coordinating all activities and appearances on behalf of plaintiffs. No motion, request for discovery, or other pre-trial or trial proceedings shall be initiated or filed by any plaintiff except through Co-Lead Counsel. Except as expressly stated herein, the Parties are not waiving any rights, claims, or defenses of any kind, and Defendants expressly reserve all rights, claims, and defenses, including, but not limited to, those regarding the standing and adequacy of plaintiffs to prosecute the Consolidated Derivative Action pursuant to Federal Rule of Civil Procedure 23.1 and 8 Del. ORDER: Earlier today, the Court accepted Votto v. Raina, No. 21-CV-5982, as related to Calvo v. Raina, No. 21-CV-4380. Calvo v. Raina had in turn been previously accepted as related to Saraf v. Ebix, Inc., No. 21-CV-1589. In the interests of judicial economy, counsel for the parties in all three cases are directed to confer with one another and, no later than August 5, 2021, to submit a joint letter addressing the parties' positions on how the Court should proceed with the new case, including whether Votto v. Raina should be consolidated with either Calvo v. Raina or Saraf v. Ebix, Inc. (or both), see Fed. R. Civ. P. 42; whether there is a need for a conference to discuss coordination of the three cases (or anything else); and anything else the parties think appropriately bears on the Court's management of the cases going forward.
