STIPULATION AND ORDER: NOW THEREFORE, IT IS HEREBY STIPULATED AND AGREED, by and between the undersigned parties, through their undersigned counsel, that: 1. By entering into this stipulation, Defendants accept service of the Complaint in this action and expressly reserve all of their respective rights, claims and defenses, other than a defense to the sufficiency of service of the Complaint. 2. Defendants need not answer, move to dismiss, or otherwise respond to the Complaint until the earlier of (i) 30 days after the challenged merger transaction closes, or (ii) July 31, 2022. The Initial Pretrial Conference and the associated deadlines are continued to such other dates and times that this Court shall order.
