Filing 13 STIPULATION AND REVISED ORDER CONCERNING TIME TO RESPOND TO THE COMPLAINT: Plaintiff Nizar S. Nayani ("Plaintiff") and the defendants in this action (collectively, "Defendants"), by and through their undersigned counsel and subject to the Court's approval, hereby stipulate and agree as follows, as revised by the Court: 1. On August 12, 2022, Plaintiff served the complaint in this action (the "Complaint") (ECF No. 1) on certain Defendants. Those Defendants' current deadline to answer, move, or otherwise respond to the Complaint is September 2, 2022. 2. This action is subject to the procedural requirements of the Securities Act of 1933, as amended by the Private Securities Litigation Reform Act of 1995 (the "PSLRA"), which requires the appointment of a lead plaintiff and lead counsel in this action. 15 U.S.C. 77z-1 (b )(1 ). 3. All discovery in this action is automatically stayed under the PSLRA pending resolution of Defendants' anticipated motions to dismiss "unless the court finds, upon the motion of any party, that particularized discovery is necessary to preserve evidence or to prevent undue prejudice to that party." 15 U.S.C. 77z-l(b)(l). 4. Counsel for Plaintiff and Defendants have met and conferred and agreed that it would be efficient to extend Defendants' time to answer, move, or otherwise respond to the Complaint until after the Court has appointed a lead plaintiff and lead counsel. Counsel for Plaintiff and Defendants have therefore stipulated that: a. To the extent Defendants have not yet been served, the undersigned attorneys accept service of the summons and Complaint in this action on behalf of their respective clients as of the date of this Stipulation, without waiver of, or prejudice to, any of their rights or defenses, including, but not limited to, with respect to personal jurisdiction. b. Within 14 days after the Court enters an order appointing lead plaintiff and lead counsel, lead plaintiff shall notify Defendants whether it will file an amended or consolidated complaint, and shall file any such amended or consolidated complaint within 30 days after the Court enters such an order. c. Defendants shall respond to the Complaint within 30 days after the Court-appointed lead plaintiff files an amended or consolidated complaint or otherwise notifies Defendants that the Complaint shall be designated as the operative complaint for purposes of this action. d. If Defendants move to dismiss the Complaint or an amended or consolidated complaint, lead plaintiff shall have 30 days to file its opposition submission(s). and Defendants shall have 14 days thereafter to file their reply submission(s). 5. This is the first request to extend Defendants' time to answer, move, or otherwise respond to the Complaint. 6.
