STIPULATION AND AGREED PRELIMINARY INJUNCTION: The Court having reviewed Plaintiffs' motion in this proceeding and the proposed terms of the preliminary injunction, and based on the stipulation and agreement of the parties, it is hereby ORDERED: During the pendency of this litigation and effective as of the date of this Order: (1) Sean Grusd ("Grusd") may make no securities offerings, directly or indirectly, without leave of Court. (2) Within five business days of entry of this Preliminary Injunction, Grusd must produce records within his custody or control, other than records he has already produced pursuant to the Anton Piller Order, sufficient to show his direct or indirect ownership of physical or intangible assets anywhere in the world. This includes, but is not limited to bank accounts, real estate, hedge funds, investment accounts, investments in publicly held corporations, private investments, automobiles, cryptocurrencies, retirement accounts, bonds, precious gemstones, gold or any other precious metals, art, and any assets or interests held by Grusd or entities controlled by Grusd. (3) All assets currently owned by Grusd or entities currently controlled by Grusd are frozen and Grusd is prohibited from selling, liquidating, encumbering, or otherwise disposing of any such assets, provided, however, that: a. The following bank accounts are not frozen pursuant to this order, and Grusd may withdraw funds from such accounts: Bank of America account no. 291033798538 (containing approximately $23,789.99), Royal Bank of Canada account no. 00002-5916168 (containing approximately $9,035.79), and UBS account no. Y424795 (containing approximately $469.31). b.In addition to the amounts listed in subparagraph a., Grusd may incur and pay ordinary living expenses, in an amount not to exceed $5,000 per month. The $5,000 per month may come from Grusd's employment or financial support from members of his family. c.Grusd may pay his attorney for legal fees and expenses in an amount up to $50,000. Grusd may petition the Court for leave to pay his attorney in excess of $50,000, and Plaintiffs reserve the right to oppose such petition. If the Court grants such request, Grusd must provide documents sufficient to identify the source of the payment to his attorney. (4) Grusd is prohibited from accessing the bank accounts of Dylan Ventures LLC, November Acquisitions SPV LLC, and December Acquisitions SPV LLC's and from otherwise acting on behalf of those entities. (5) Grusd is prohibited from destroying any documents related to Dylan Ventures, LLC, November Acquisitions SPV LLC, and December Acquisitions SPV LLC, including any communications with Plaintiffs or others concerning those entities. (6) The Parties are granted leave to begin written discovery. The preliminary injunction shall issue immediately. No bond is required. The restrictions imposed by this Preliminary Injunction shall apply until the issuance of a final judgment, dismissal of the case, written consent of the Parties, or further order of this Court.
