STIPULATION AND ORDER FOR AN EXTENSION OF TIME TO ANSWER OR OTHERWISE RESPOND: IT IS HEREBY STIPULATED AND AGREED, by and between Plaintiff and the Defendants, through their undersigned counsel, as follows: 1. The Defendants need not answer or otherwise respond to the complaint, except to the extent set forth in paragraph 2; 2. Within 20 days after this Court appoints a Lead Plaintiff, Defendants and the Lead Plaintiff will meet and confer to discuss a schedule for the filing by Lead Plaintiff of an amended or consolidated complaint or the designation of an operative complaint, and Defendants' time to answer or otherwise respond to the that complaint. After meeting and conferring, Lead Plaintiff and Defendants shall propose a schedule to the Court for the filing of the consolidated or amended complaint, if any, and Defendants' response to the operative complaint in this action; and 3. Defendants hereby waive service of the Summons and Complaint in this action and any defense based upon the sufficiency of service of process, provided, however, that no other defense of any of the Defendants to the claims in the Action, including but not limited to defenses based upon lack of personal or subject matter jurisdiction, lack of standing, improper venue or a defendant having been improperly named, is prejudiced or waived by the execution of, agreement to, or filing of this stipulation, or by the agreement to accept service of the Summons and Complaint. ORDER REGARDING NOTICE TO PURPORTED PLAINTIFF CLASS MEMBERS: On July 27, 2023, Plaintiff filed a putative class action "on behalf of all purchasers of Syneos common stock between September 9, 2020 and November 3, 2022." Dkt. 1 ("Compl."), Paragraph 1. The Complaint alleges violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder. Section 78u-4(a)(3)(A) of the Private Securities Litigation Reform Act ("PSLRA"), 15 U.S.C. 78u-4(a)(3)(A), requires that "[n]ot later than 20 days after the date on which the complaint is filed, the plaintiff or plaintiffs shall cause to be published, in a widely circulated national business-oriented publication or wire service, a notice advising members of the purported plaintiff class... of the pendency of the action, the claims asserted therein, and the purported class period." 15 U.S.C. 78u-4(a)(3)(A)(i) (emphasis added). It is hereby ORDERED that no later than September 11, 2023, at 5:00 p.m., Plaintiffs shall advise the Court in writing of the date and manner in which it published this notice. SO ORDERED.
