STIPULATION AND ORDER STAYING THE DERIVATIVE ACTION, IT IS HEREBY STIPULATED AND AGREED as follows:1. Undersigned counsel for Defendants is authorized to accept, and hereby accepts,service of the summons and Complaint on behalf of Defendants, without prejudice to or waiver of any of Defendants' defenses, objections, or arguments, except as to sufficiency of service of process; 2. This Derivative Action is stayed until the resolution of the anticipated motion to dismiss in the Securities Class Action and, if the anticipated motion to dismiss is granted, until the resolution of any motion to dismiss any further amended complaint in the Securities Class Action and/or until the resolution of any appeal of the Court's decision to dismiss the Securities Class Action, as applicable (the "Stay"); 3. Without waiving any defenses or objections, Defendants are not required to answer, move to dismiss, or otherwise respond to the Complaint during the Stay; 4. During the pendency of the Stay, Plaintiffs may amend the Complaint, but Defendants, without waiving any defenses or objections, are not required to answer, move to dismiss, or otherwise respond to any amended complaint and as further set forth in this Stipulation; IT IS SO ORDERED.
