ORDER TO SHOW CAUSE, TEMPORARY RESTRAINING ORDER, AND ORDER FREEZING ASSETS AND GRANTING OTHER RELIEF: The Defendants are restrained and enjoined from violating Sections 206(1), 206(2) and 206(4) of the Advisers Act [15 U.S.c. §§80b-6(l), ( 2), (4)], as set forth herein. The Defendants are restrained and enjoined from violating Section 17(a) of the Securities Act [15 U.S.c. § 77q(a)], as set forth herein. Defendants are restrained and enjoined from violating Section 10(b) of the Ex change Act or Rule 10 b-5 [15 U.S.c. § 78j(b) and 17 C.F.R. §240.10b-5], as set forth herein. A conference concerning adjudication of the Commissions Motion for Preliminary Injunction shall take place on March 3, 2009 at 10:30 o'clock in courtroom 21D.
