DOCKET TEXT ORDER. Preliminary injunctive relief -- including a temporary restraining order -- is available only for a party whose pleadings "contain[] allegations which, if proved, entitle [him] to some equitable relief." Deckert v. Independence Shares Corp., 311 U.S. 282, 289 (1940); see also Grupo Mexicano de Desarrollo S.A. v. Alliance Bond Fund, Inc., 527 U.S. 308, 324-27 (1999) (noting that a preliminary injunction may not issue for a party seeking only damages). While "[a] preliminary injunction is always appropriate to grant intermediate relief of the same character as that which may be granted finally," it may not "deal[] with matters lying wholly outside the issues in the suit." De Beers Consol. Mines v. United States, 325 U.S. 212, 220 (1945).Here, Mr. Thurston has not raised any claims for final relief relating to the conduct he complains of in his motion. Indeed, he has not sought any final relief in this action, much less "equitable relief." Deckert, 311 U.S. at 289. Simply put, before Mr. Thurston can make the required showing of a "likelihood of success on the merits," Winter v. Natural Res. Def. Council, Inc., 555 U.S. 7, 20 (2008), he must actually assert a claim on which he could succeed. To be sure, Mr. Thurston seeks to consolidate his separate action against Mr. Schiermeyer with this action. See #50 Defendants Motion to Consolidate Cases; True North et al. v. Schiermeyer et al., No. 2:23-cv-590. But the motion to consolidate has not yet been fully briefed, let alone granted. Further, the action against Mr. Schiermeyer does not in all events seek any "equitable relief" -- or any relief at all -- for the conduct for which Mr. Thurston now seeks a temporary restraining order. Thus, even were the court to grant the motion to consolidate, it still could not grant a temporary restraining order to redress "matters lying wholly outside the issues in" both actions. DOCKET TEXT ORDER. In #2 Complaint, Eric Schiermeyer invokes the court's diversity jurisdiction, but he fails adequately to allege the citizenship of three parties. First, Mr. Schiermeyer alleges that he is "a resident of California," and that one of the defendants, Wright Thurston, is "a resident of Utah." Dkt. No. 2 paras. 1213 (emphases added). It is well settled, however, that for individuals who are United States citizens, diversity jurisdiction turns on state citizenship, not residence; that state citizenship turns on domicile; and that domicile is not the same thing as residence. See, e.g., Mississippi Band of Choctaw Indians v. Holyfield, 490 U.S. 30, 48 (1989); Siloam Springs Hotel, L.L.C. v. Century Sur. Co., 781 F.3d 1233, 1238 (10th Cir. 2015); Smith v. Cummings, 445 F.3d 1254, 1259-60 (10th Cir. 2006); Whitelock v. Leatherman, 460 F.2d 507, 514 (10th Cir. 1972). (For a non-U.S. citizen, the court instead looks to the actual country of citizenship.) With respect to another defendant, True North United Investments, LLC, Mr. Schiermeyer alleges only that (1) True North is Mr. Thurston's "investment vehicle," Dkt. No. 2 para. 1, (2) both Mr. Thurston (again, an alleged resident of Utah) and his wife have been managers of True North, Dkt. No. 2 para. 14, and (3) "[u]pon information and belief and based on the available public record, no member of True North resides in Wyoming or California." Dkt. No. 2 para. 14 (emphasis added). But a limited liability company is a citizen of every state and foreign country of which any of its members is a citizen. See, e.g., Siloam Springs Hotel, 781 F.3d at 1237-38. And again, state citizenship turns on domicile, not residence. No later than September 16, 2023, Mr. Schiermeyer shall file an amended complaint that (1) correctly alleges his and Mr. Thurston's citizenship for the purposes of diversity jurisdiction, (2) identifies all members of True North, and (3) properly alleges the citizenship of each member. See 28 U.S.C. 1653. If this submission fails to establish complete diversity between the plaintiffs, on the one hand, and the defendants, on the other hand, the action will be dismissed without prejudice for lack of subject matter jurisdiction.
