November 22, 2021 Opinion or Order Filing 172 Order: Debtor's counsel applied for approval of $121,470 in compensation and $4,028.75 in expenses. After no objection was filed, counsel filed a proposed order stating, among other things, "based upon its own review, K&D agreed to reduce the total to $116,298.00 and disbursements to $2,290.75 for a total amount of $118,588.75." Nothing else was filed explaining this reduction. Proposed orders are not apt vehicles for supplementing the record. Two reasons for this are shown here. First, by adding the reduction only to the proposed order, counsel leaves the court to wonder during its review of the application about the basis for the reduction: Are specific aspects of the application's requests for fees and reimbursements unfounded or unreasonable? Did counsel have a post-filing epiphany leading to the conclusion that the compensation request was overstated? Is the belated discount simply a means to mollify a malcontent who threatened to file an objection? Does the reduction arise from an agreement reached with the United States trustee or some other party in interest? Second, if the court were to enter the proposed order, any subsequent review of the record relating to the application would likely lead the reviewer to wonder why the court declared in its order that debtor's counsel had "agreed" to reduce the total amount--one does not typically look for record support in proposed orders. For these reasons, the proposed order is rejected. The court will take no action on the application until either (1) counsel supplements the record with explanatory correspondence or an amended application that evidences the proposed reduction and explains the basis for that reduction, either specifically (if specific charges and disbursements are no longer claimed) or generally (if counsel is simply reducing the amount by a percentage or on some other non-specific basis) or (2) requests an evidentiary hearing on approval of the application. If counsel elects to supplement the record, counsel must file a new proposed order after filing the supplementation. The court will not act on the application until counsel completes one of these courses. s/ G. October 12, 2021 Opinion or Order Filing 150 Order: The subchapter V debtor has filed a chapter 11 subchapter V plan and there is a confirmation hearing scheduled for October 14, 2021. On October 12, 2021, the debtor filed a second amended report on balloting that states that Ally Capital submitted a late ballot accepting the plan. ECF No. #139. The court construes the debtor's second amended report on balloting as a request by the debtor under Rule 9006(b)(1) for enlargement of the September 17, 2021 deadline to submit ballots, as provided in the court's August 10, 2021 order on confirmation procedures. The debtor's request is granted, and the court considers the ballot of Ally Capital timely submitted. On October 12, the debtor requested that the court hold the confirmation hearing by telephone or confirm the plan based on the record without a hearing. Also on October 12 the subchapter V trustee recommended confirmation of the plan. As a result of the withdrawal of the objections to confirmation, and subject to this order, it appears from the record that the court may be able to confirm the plan without a hearing, as provided by paragraph 5 of the March 26, 2021 Case Management Order. The debtor has filed a proposed confirmation order as required by paragraph 5 of that order, but the court will wait to see if any objections are filed by the October 13, 2021, 4:00 p.m. deadline to Boilermaker-Blacksmith National Pension Trust's motion to withdraw its ballot. If no one timely objects to that motion, the court expects to confirm the chapter 11 plan based on the existing record and cancel the October 14 hearing. If there is a timely objection to the motion, the court will hold the October 14 hearing by telephone. In addition, on October 12, 2021, the debtor and Boilermaker-Blacksmith National Pension Trust filed a stipulation providing that the claim of Boilermaker-Blacksmith National Pension Trust is allowed; the debtor filed a motion under Rule 9019 to approve the stipulation. See ECF Nos. #142 and #144. No one has objected to Boilermaker-Blacksmith National Pension Trust's claim; thus, the claim is an allowed claim by operation of 11 U.S.C. section 502(a). While the debtor's agreement to forgo a potential claim objection might implicate Rule 9019, it seems exceedingly unlikely that any party in interest will oppose the debtor's stipulation. Accordingly, the court finds there is cause to approve the stipulation without waiting for the expiration of the notice period, subject to the court reconsidering the approval de novo should any party file a timely objection.
