Order: The debtor filed this chapter 11 case on February 4, 2024. On February 22, the debtor moved to employ Jonathan V. Goodman as its counsel. Mr. Goodman filed an unsworn declaration that may or may or not comply with 28 U.S.C. sec. 1746, since it purports to declare under penalty of perjury but doesn't state that the assertions are true and correct. On March 6, the United States trustee objected to the motion to employ, alleging that Mr. Goodman has not made a complete disclosure of his relevant connections, suggesting that there are inaccuracies in the debtor's initial filings, and a shortage of required information about the nature of Mr. Goodman's connections with the debtor. The objection requests either denial of the motion to employ or an order requiring Mr. Goodman "to provide further disclosures regarding (1) his connections to the Debtor's related entities and the Debtor's insiders; (#2) prepetition amounts paid by the Debtor, related entities, and or insiders; ( 3 ) copies of all fee invoices or time records regarding services rendered to the Debtor, its related entities, and insiders within one year of the Petition Date; and (#4) all signed retainer agreements among Attorney Goodman and the Debtor, its related entities, and insiders including Raymond and Helen Chou executed within one year of the Petition Date or in effect as of the Petition Date." ECF No. #25 at 6-7. One does not typically expect to find requests for production of information in an objection, and it is more than a bit surprising that the United States trustee and an experienced counsel like Mr. Goodman are unable to resolve inquiries about counsel's potential connections with the debtor without the court's involvement. Still, the United States trustee could presumably move for the same relief under Rule 2004, and there's no reason to compound the matter with additional motion practice. For that reason, IT IS ORDERED that on or before March 20, 2024, Mr. Goodman must supplement his initial disclosure with a verified statement or declaration conforming with 28 U.S.C. sec. 1746 that discloses all information that is relevant to demonstrating that he "do[es] not hold or represent an interest adverse to the estate, and that [he is a] disinterested person[]", 11 U.S.C. sec. 327, and shows all connections with the debtor and its insiders. By that same date, Mr. Goodman must produce to counsel for the United States trustee documents or other information sufficient to show (1) all connections he has with entities that have an interest in the debtor or in which the debtor has an interest, as well as all connections to the debtor's statutory insiders; (2) payments he received from the debtor or its insiders withing the last year; (3) all invoices or bills sent to the debtor or its insiders within the last year, and (4) any agreements to represent the debtor or such insiders executed since February 4, 2023. IT IS FURTHER ORDERED that, unless the parties are otherwise successful in resolving this dispute, before March 25, 2024, Mr. Goodman and counsel for the United States trustee must meet and confer one or more times in person to endeavor to resolve the objection to the debtor's motion to retain Mr. Goodman. IT IS FURTHER ORDERED that, unless the UST withdraws his objection, Mr. Goodman must file a response to it no later than March 29, 2024, accompanied by a declaration detailing all efforts by the parties to resolve this dispute amicably. s/ G.
