May 9, 2024 Opinion or Order Filing 109 Order: On May 6, 2024, the debtor filed a single 188-page document containing its schedules and other required disclosures. ECF No. #100. The debtor included in that document a variety of business documents, some of which are spreadsheets printed in a manner that makes them difficult to read. On May 8, the debtor filed "Motion to Restrict Public Access and Redact Document". ECF No. #106. The motion, which seeks to have the clerk substitute parts of the May 6 filing with redacted pages attached to the motion, says that it is filed "pursuant to 11 U.S.C. [sec.] 107(c), Fed. R. Bankr. P. 9037(h)." Id. at 1.Section 107(c)(1) provides: "The bankruptcy court, for cause, may protect an individual, with respect to the following types of information to the extent the court finds that disclosure of such information would create undue risk of identity theft or other unlawful injury to the individual or the individual's property: (A) Any means of identification (as defined in section 1028(d) of title 18) contained in a paper filed, or to be filed, in a case under this title. (B) Other information contained in a paper described in subparagraph (A)." Section 1028(d) of title 18 defines "means of identification" as "any name or number that may be used, alone or in conjunction with any other information, to identify a specific individual, including any -- (A) name, social security number, date of birth, official State or government issued driver's license or identification number, alien registration number, government passport number, employer or taxpayer identification number; (B) unique biometric data, such as fingerprint, voice print, retina or iris image, or other unique physical representation; (C) unique electronic identification number, address, or routing code; or (D) telecommunication identifying information or access device (as defined in [18 U.S.C.] section 1029(e))". 18 U.S.C. sec. 1028(d)(7). Bankruptcy Rule 9037(a) implements section 107(c)(1)'s limitation on the Code's general directive that bankruptcy court records are open to the public by directing, "Unless the court orders otherwise, in an electronic or paper filing made with the court that contains an individual's social-security number, taxpayer-identification number, or birth date, the name of an individual, other than the debtor, known to be and identified as a minor, or a financial-account number, a party or nonparty making the filing may include only: (1) the last four digits of the social-security number and taxpayer-identification number; (2) the year of the individual's birth; (3) the minor's initials; and (4) the last four digits of the financial-account number." Fed. R. Bankr. P. 9037(a). Bankruptcy Rule 9037(h) provides the procedure by which one who has filed a document in violation of Rule 9037(a) may move to correct the error. It provides, "Unless the court orders otherwise, if an entity seeks to redact from a previously filed document information that is protected under subdivision (a), the entity must: (A) file a motion to redact identifying the proposed redactions; (B) attach to the motion the proposed redacted document; (C) include in the motion the docket or proof-of-claim number of the previously filed document; and (D) serve the motion and attachment on the debtor, debtor's attorney, trustee (if any), United States trustee, filer of the unredacted document, and any individual whose personal identifying information is to be redacted." Fed. R. Bankr. P. 9037(h)(1). The debtor's motion is lacking in several regards. First, it does not explain the cause for the redaction and does not identify, as required by Rule 9037(h)(1)(A), what information is proposed to be redacted. See Fed. R. Bankr. P. 9013, Bankr. E.D. Wis. L.R. 9013(c). Instead, it merely states without elaboration that certain pages of the document "contain certain personal identifying information that is subject to the redaction requirements of Fed. R. Bankr. P. 9037." ECF No. #106, at 1. A glance at the filings suggests that the debtor seeks to redact the names of hotel customers, some of which are corporate and governmental entities (that is, not individuals whose information Rule 9037 protects) others of which are almost certainly adults (or at least there's no contention that they are minors). Second, the document the debtor attached to the motion consists of 75 pages of the original 188-page document. It is one thing for the clerk to substitute a single 188-page document with a similar 188-page document containing redactions; it is quite another to call on the clerk to deconstruct a 188-page PDF, replace 75 of its pages with pages attached to the motion as a single PDF, and then refile the Frankenstein document to serve as the debtor's verified Rule 1007 filings. The rule requires the movant to "attach . . . the proposed redacted document" to the motion, not just the portions of the document that require redaction. Fed. R. Bankr. P. 9037(h)(1)(B). Third, the debtor has not demonstrated that it has made the service required by Rule 9037(h)(1)(D), including on "any individual whose personal identifying information is to be redacted." For these reasons, the court will deny the motion and return ECF No. 100 to the public record, unless, on or before May 16, 2024, the debtor supplements the motion to explain why there is cause for the redaction, files a single replacement document for document No. 100, and files proof that the motion and any supplemental document have been served as required by Rule 9037(h). s/ G. The order identifies those payments by reference to Exhibit A to ECF No. 31, a proposed order filed by the debtor to which it attached Exhibit A --the operative list of requested payments. April 13, 2024 Opinion or Order Filing 18 Order: Debtor Wisconsin & Milwaukee Hotel LLC filed a petition under chapter 11 on April 9, 2024. On April 12 it filed two motions through its proposed counsel: (i) debtor's emergency motion for authority to (1) satisfy prepetition employee obligations; (2) continue administering employee benefit plans; and (3) direct banks to honor prepetition checks for payment of prepetition employee obligations (ECF No. #15) and (ii) debtor's emergency motion for authority to (1) maintain existing bank accounts; (2) continue using existing cash management systems; (3) continue using existing business forms; (4) modify deposit requirements pursuant to 11 U.S.C. 345(b); and for (5) other related relief (ECF No. #16). The April 12 motions, which, to overgeneralize, request authority to use estate property on an interim and final basis, maintain certain financial processes, make certain payroll expenditures, and proceed in a manner requiring relief from certain requirements otherwise imposed on the debtor in possession by the Bankruptcy Code and Rules, assert that they are supported by a declaration of Mark Flaherty. The debtor has yet to file that declaration. It also has not filed a separate motion for an expedited hearing on the motions. But on April 11 the debtors' proposed counsel contacted the court's staff to seek an expedited hearing on the motions. Typically, the court would await the filing of a motion for expedited hearing, but, given the nature of the April 12 motions and because the presiding judge's availability by any means before April 17, 2024, is extremely limited, the court by this order schedules an initial hearing on the April 12 motions and imposes certain filing requirements and prehearing procedures. The court will hold an initial hearing on the debtor's April 12 motions on April 17, 2024, commencing at 1:45 p.m. in room 133 of the Federal Courthouse in Milwaukee. This is an in-person hearing. The court may hear evidence at the hearing. The following persons must attend the hearing in person: the debtor, through both its managing member (or chief operating officer) and its proposed counsel; counsel for the United States trustee; and any parties objecting the April 12 motions or otherwise seeking to be heard on them, either through counsel, or in person if an individual appearing without counsel. If a party in interest desires to appear by telephone, the party must file by no later than April 16 at noon correspondence explaining with specificity the party's interest in the matters to be heard and its alleged cause for requesting to appear by telephone; the correspondence must also identify the person who seeks to appear and information sufficient for the deputy clerk to join the person to the hearing by telephone. Service of any such correspondence is limited to parties who receive ECF notice. Because the hearing may involve the presentation of evidence, the court will not employ its conference line to allow access to the hearing. A party appearing by telephone will not be allowed to present evidence or examine witness; the court may elect in its sole discretion to hear argument only from parties appearing in person. The debtor must file any declaration in support of the April 12 motions by no later than April 15, 2024. By no later than noon, April 16, 2024, the debtor must file one or more proposed orders addressing all relief that the debtor requests be granted at or ordered immediately after the April 17 hearing concludes. The proposed orders may narrow the relief requested in the April 12 motions, but they cannot provide for relief that exceeds the relief requested in the motions. The court expects that all such relief will be entered on an interim basis. Any party objecting to the entry of the relief requested in the April 12 motions on an interim (non-final) basis must file a written objection to such relief no later than 9:00 a.m. on April 17, 2024. Procedures for final adjudications of the April 12 motions, including the filing of objections to any final award of the relief they request, may be considered at the April 17 hearing and will be set by subsequent order. The debtor and all parties opposing the relief requested in the April 12 motions, on either an interim or final basis, are ordered to meet and confer expeditiously by means of their choosing to attempt to resolve or narrow their disputes. Unless a party received ECF notice of this order and the April 12 filings, the debtor must serve the April 12 motions and notice of this order by the most expeditious means available (e.g., email to a party's counsel for this matter or, in the absence of such counsel, principal, officer, or agent (including lawyer) most likely to afford the party prompt actual notice) on (a) the United States Trustee; (b) the holders of the twenty largest unsecured claims against the debtor; (c) Town Bank; (d) the debtors' prepetition lenders; (e) any other party that has or is believed to claim a security interest in collateral implicated by the relief requested in the April 12 motions; (f) any party with potential setoff or lien rights in estate property whose rights are potentially affected by the relief sought in the motions; and (g) any other financial institution whose rights under nonbankruptcy law would potentially be adversely affected by the relief sought in the April 12 motions.
