Filing 9 ** TEXT ONLY ORDER **ORDER Regarding Jurisdiction. This civil action was removed by defendants from state court to federal court on the basis of 28 U.S.C. 1441 and 1446, invoking this court's diversity jurisdiction under 28 U.S.C. 1332(a). As detailed in the Notice of Removal, defendants acted diligently in attempting to discover the plaintiff LLC's members and those members' citizenship but were unable to do so. Still, based on their research, defendants alleged in good faith that plaintiff's members were not citizens of Texas or Florida, the states of which defendants are citizens. (Not. of Removal (dkt. #2 ) par. 15-23.) Today, plaintiff filed an amended complaint, but the amended complaint fails to contain the necessary allegations for this court to ensure diversity of citizenship. Plaintiff simply alleges that it is a "limited liability company organized under the laws of the state of Minnesota." (Am. Compl. (dkt. #8 ) par. 1.) This information, however, is not relevant to the citizenship of an LLC party. Instead, "the citizenship of an LLC is the citizenship of each of its members." Camico Mut. Ins. Co. v. Citizens Bank, 474 F.3d 989, 992 (7th Cir. 2007). As such, on or before March 1, 2019, plaintiff is directed to file a declaration identifying each of its members and the state or states of their citizenship. In alleging the LLC's citizenship, plaintiff should be aware that if any members of the LLCs are themselves a limited liability company, partnership, or other similar entity, then the individual citizenship of each of those members and partners must also be alleged as well. See Meyerson v. Harrah's E. Chi. Casino, 299 F.3d 616, 617 (7th Cir. 2002). The court also notes that the filing of the amended complaint moots defendants' motion to dismiss.
