ORDER TO SHOW CAUSE - The Court ORDERS the parties to SHOW CAUSE by February 8, 2013 as to why this case should not be dismissed for lack of subject matter jurisdiction. After the Court has reviewed Mr. Rondel's and Mr. O'Neil's subm issions regarding subject matter jurisdiction, if it determines that it has subject matter jurisdiction over the third-party claims, it will issue a further order setting forth a briefing schedule relating to the issue of whether it has personal j urisdiction over Mr. O'Neil. In the interim, any litigation regarding whether the Court has personal jurisdiction over Mr. O'Neil is STAYED. Additionally, the Clerk is directed to TERMINATE Mr. O'Neil's Notice of Appearance to Contest Personal Jurisdiction, [dkt. 28 ], to the extent it was being treated as a motion requiring a ruling by the Court. ORDER denying 15 Mr. Rondel's Motion to Dismiss for Failure to State a Claim - Mr. Rondel's Motion to Dismiss Amended Complaint for Failure to State a Claim for Personal Liability of Corporate Obligation; Alternative Motion to Dismiss for Failure to Allege Fraud Claim With Specificity; and Alternative Motion to Dismiss for Failure to Show Reasonable Reliance With Respect to Fraud, [dkt. 15 ], is DENIED. Mr. Mathioudakis is ordered to file, by September 28, 2012, a Second Amend ed Complaint which is identical in all respects to the Amended Complaint, but which attaches the Note as an exhibit. The Second Amended Complaint shall be the operative complaint going forward. Defendants' time for answering shall begin to run on the date the Second Amended Complaint is filed. (SEE ORDER).
