Filing 23 MEMORANDUM OPINION AND ORDER granting in part and denying in part 14 Defendants' Motion to Dismiss for Lack of Personal Jurisdiction and Forum Non Conveniens. The court determines that Stark has sufficient contacts with the State of Texas t o establish specific jurisdiction and denies Defendants' Motion to Dismiss For Lack of Personal Jurisdiction as to Andrew Stark. The court further determines that Fowler lacks sufficient contacts with the State of Texas to establish general or specific jurisdiction over him. Accordingly, the court grants Defendants' Motion to Dismiss For Lack of Personal Jurisdiction as to Nathaniel Fowler. The court determines that, in light of the forum-selection clause in the Agreement, transfer under § 1404 is appropriate. Accordingly, the court grants Defendants' Alternative Motion to Transfer on Forum Non Conveniens Grounds and transfers this case to the United States District Court for the Southern District of New York pursuant to 28 U.S.C. § 1404(a).
