The Court issued the following rulings: (1) BOA's proposed Affirmative Defense No. 8 is STRICKEN; (2) BOA's proposed Affirmative Defense No. 13 is STRICKEN except to the extent it relies on Section 10(c) and Section 2 of the Custodial Agreement; (3) as to BOA's proposed Affirmative Defense No. 15, the FDIC shall provide the Court with a short statement setting forth its position regarding the proposed affirmative defense on or before November 18, 2013. The hearing will be structured as follows: the court will hear arguments on Defendant FDIC's motion to dismiss first. The parties will have twenty minutes each for argument and five minutes for defendant's rebuttal. The court will then hear arguments on Plaintiff Bank of America's ("BOA") motion to dismiss. Again, the parties will have twenty minutes each for argument and five minutes for plaintiff's rebuttal. Counsel should be prepared to discuss the following issues at the hearing: (1) whether BOA is bringing a claim on behalf of itself independent of its role as a custodian, indentured trustee and/or bailee under the relevant agreements between the parties; (2) whether Colonial Bank and/or Platinum Community Bank had possession of or received benefit from the transfers that form the basis of the fraudulent transfer claims in Counts 9 and 10 of the First Amended Complaint; (3) what consideration, if any, was given by Colonial to BOA under the bailee letters; (4) assuming that many claims will survive the motions to dismiss, how do the parties plan to prove their cases, and (5) any other issue that counsel feels is important for the court to consider.
