Filing 30 MEMORANDUM AND ORDER..IT IS HEREBY ORDERED that defendants motion to dismiss (#4) is DENIED as moot. IT IS FURTHER ORDERED that defendants' motion to dismiss (#17) is DENIED in part and GRANTED in part, as explained herein. The defendants motion s to dismiss will be denied in part and granted in part.Defendants first motion to dismiss (#4) is denied as moot because it pertains to the nowreplaced first complaint. Defendants' second motion to dismiss (#17) is denied as to Counts II and III and as to defendant Litow & Pech's independent liability under Count I.
