MEMORANDUM-DECISION AND ORDER: The Court hereby ORDERS that Plaintiff's motion to strike 25 is DENIED as moot; and the Court further ORDERS that Defendant's 13 motion to dismiss is GRANTED in part and DENIED in part; and the Court furt her ORDERS that Plaintiff's causes of action for breach of contract, fraud and fraudulent inducement are DISMISSED without prejudice; and the Court further ORDERS that Plaintiff's cause of action for declaratory judgment is DISMISSED with p rejudice; and the Court further ORDERS that the Defendant's motion is DENIED in all other respects; and the Court further ORDERS that the Clerk of the Court shall serve a copy of the Memorandum-Decision and Order on all parties in accordance with the Local Rules.
