April 20, 2018 Opinion or Order Filing 113 ORDER granting #107 . Lead Plaintiff's motion for issuance of letters rogatory to the judicial authorities of Brazil is granted. Lead Plaintiff is directed to make the edits to the letters rogatory discussed on the record during the telephone conference on April 19, 2018. As discussed during that conference, the language suggested by the Court to be added to the end of the introductory statements of each letter, immediately following the sentence that reads, "This suit is currently in discovery and proceeding toward trial," is as follows: "Under United States law, a party may seek in discovery documents and other information that are relevant to its claims or defenses. Documents and information obtained during discovery may or may not be admissible at trial. This Court has not yet made any determinations regarding the admissibility of the documents requested." For the foregoing reasons, Defendants' motion to dismiss is GRANTED IN PART and DENIED IN PART. Plaintiff has pleaded a claim under Section 10(b) of the Exchange Act and Rule 10b-5 thereunder with respect to the following statements and as against the following defendants: (1) the August 8, 2014 press release (as against Bradesco and Angelotti); (2) statements about Bradesco's Code of Ethical Conduct (but not the Code itself) and anti-corruption statements in Forms 20-F filed after October 9, 2014, and certifications made in post-October 9, 2014 filings attesting that the reports "d[id] not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements made, in light of the circumstances under which they were made, not misleading with respect to the period covered by this report" (as against by Bradesco and Trabuco); (3) the March 31, 2015 press release filed with the SEC on April 10, 2015 (as against by Bradesco and Angelotti); and (4) the May 31, 2016 "Notice to the Market" filed with the SEC on June 1, 2016, as well as the June 9, 2016 "reiteration" of the "clarifications provided in" the May 31 Notice (as against Bradesco and Angelotti). Because the Court cannot conclude that further amendment of the complaint would be futile, the Court grants Plaintiff leave to file a second amended complaint solely to cure the deficiencies identified in this opinion no later than 30 days from the date of this order.
