Order [non-document] The Court has received and reviewed the parties' Stipulation and Proposed Order Regarding Consolidation of Related Actions, Appointment of Counsel, Service, and Schedule (Stipulation and Proposed Order). (Doc. No. #9 .) The Court declines to execute the Stipulation and Proposed Order given the provisions in Paragraph 10, which provide that "[t]his Order shall apply to each shareholder derivative action arising out of the same, or substantially the same, transactions or events as the Consolidated Action, which is subsequently filed in, removed to, reassigned to, or transferred to this Court." (Doc. No. 9 at p. 5.) Paragraph 10 also provides, "[u]nless otherwise ordered, the terms of all orders, rulings, and decisions in the Consolidated Action shall apply to all later substantially similar shareholder derivative actions filed in this Court, removed to this Court, reassigned to the Court, or transferred here from another court." (Id. at p. 6.) Paragraph 10 does not explain why the Court should bind the litigants and their counsel of subsequent shareholder derivative actions to the provisions of the Stipulation and Proposed Order, including but not limited to the appointment of Co-Lead Counsel and Co-Liaison Counsel. Therefore, the Court will not execute the Stipulation and Proposed Order as submitted. (Doc. No. #9 .) It is so ORDERED. Judge Pamela A. Barker on 1/10/2024. (P,K)
