OPINION and ORDER - The F&R (Dkt. 40 ) is ADOPTED, as discussed herein. Alpine's motion to dismiss (Dkt. 18 ), which is joined by Defendant Agabs (Dkt. 29 ), is GRANTED IN PART, as follows: Defendants' motion to dismiss for lack of personal jurisdiction is denied; Defendants motion to transfer venue is denied; and Defendants' motion to dismiss for failure to state a claim is granted.
