Filing 11 STIPULATION AND ORDER TO STAY indicating that: 1. The Ryan Action is hereby stayed through the earlier of (1) the entry of an order of this Court resolving any summary judgment motion filed in the Putative Securities Class Action (C.A. 19-754), or (2) either of the Parties having given notice that they no longer consent to the voluntary stay of the Ryan Action. 2. Within 10 days after the earlier of (1) the entry of an order of this Court resolving any summary judgment motion filed in the Putative Securities Class Action, or (2) either of the Parties to this Stipulation having given notice that they no longer consent to the voluntary stay of the Ryan Action, the Parties shall meet and confer and submit a proposed scheduling order governing further proceedings in this action. 3. In the event the parties to the Putative Securities Class Action or to any related derivative action that is purportedly filed on behalf of EQT arising from substantially similar allegations and asserting substantially similar claims as the Ryan Action, whether filed in this Court or in another court (a "Related Derivative Action"), agree to attend either a court-ordered settlement conference or party-scheduled mediation, Defendants agree to request that Plaintiff be allowed to participate in the settlement conference or mediation. 4. Defendants shall promptly notify Plaintiff of any Related Derivative Actions that are filed during the stay and shall, upon request by Plaintiff, inform Plaintiff of whether any such Related Derivative Action is stayed and the duration of that stay. 5. For the avoidance of doubt, Defendants' obligation to answer, move to dismiss, or otherwise respond to the Complaint is stayed pursuant to this Stipulation and Order, and the Parties shall address Defendants response deadline in the proposed scheduling order contemplated in Paragraph 2, above.
