February 24, 2023 Opinion or Order Filing 87 ORDER AND NOTICE: A review of the docket shows that the Debtor filed for bankruptcy and informed that its name is Apogee Group, LLC and that it had been previously known as Apogee Capital, LLC. Docket No. 1. The petition contained a corporate resolution that indicated that it was a limited liability company organized under the laws of Delaware. Id. at 6. The Debtor has reported a 100% interest in the penthouse located at the Acquamarina Condominium in the Condado Ward of San Juan. Docket No. 17 at 7. The Debtor has listed CRIM; the Acquamarina HOA; LUMA; PRWASA; and the marriage of Manuel Ceide Rios and Emma Vazquez Estany as its creditors. Docket No. 1 at 8 and Docket No. 17 at 10. The amended statement of financial affairs filed by the Debtor indicated that it was involved in a legal action with Manuel Ceide Rios, et als for foreclosure and collection of monies in state court. Docket No. 18-1 at 3. The motion to sell the penthouse located at Acquamarina contains a CRIM certification that indicates that the owner of the property is Apogee Capital, LLC. Docket No. 68-7. The HOA has included a purchase sale deed with its motion to dismiss that shows that the purchaser of the penthouse is called Apogee Capital, LLC. Docket No. 77-1 at 1. The HOA alleges that Apogee Capital, LLC has never existed in Puerto Rico. Docket No. 77 at 6. The deed, dated February 2, 2015, indicates that the alleged inexistent Apogee Capital, LLC is a limited liability company organized under the laws of Puerto Rico. Docket No. 77-1 at 1. The HOA further alleges that it has obtained judgment against Apogee Capital, LLC in state court. Docket No. 77 at 6. Debtor's name does not appear in the CRIM certification; nor does it appear in the purchase sale deed and the state court cases reported in the docket. Puerto Rico's General Corporations Act states that the legal personality of a corporate entity begins at the time of the filing of the certificate of incorporation. 14 L.P.R.A. 3505. Foreign limited liabilities are prohibited from conducting business transactions in Puerto Rico until they are authorized to do so. 14 L.P.R.A. 4022. The General Corporations Act defines what does not constitute conducting business transactions in Article 13.05. 14 L.P.R.A. 3805. Foreign limited liability companies cannot seek judicial relief in Puerto Rico until they obtain the authorization to conduct business. 14 L.P.R.A. 4025. The Debtor informed in its status report that it was engaged in the business of buying and selling real estate properties. Docket No. 23 at 1. The Debtor is ordered to show cause, on or before March 3, 2023, why the case should not be dismissed for informing inaccuracies as to ownership over the penthouse located at Acquamarina and its relationship to the scheduled creditors.
