Before the Court are the Chamber of Commerce of the United States of America and Texas Association of Business's Motion to File Brief Amici Curiae in Support of Defendants' Motion to Dismiss (the "Chamber of Commerce Motion") (Doc. No. 22), the Alliance for Corporate Excellence's Motion for Leave to File Amicus Curiae Brief (the "Alliance Motion") (Doc. No. 23), and Texans for Lawsuit Reform's Motion for Leave to File Brief Amicus Curiae in Support of Defendants' Motion to Dismiss (the "Texans Motion" and, collectively, the "Motions") (Doc. No. 32). These non-parties seek leave to file amicus briefs in support of Defendants' Motion to Dismiss Under Rule 12(b)(1), 12(b)(6), 23.1, and Based Upon Statutory Bar and Bylaw (the "Motion to Dismiss") (Doc. Further, the amicus brief attached to the Texans Motion states that Texans for Lawsuit Reform "is a volunteer-led organization founded in 1994 to help foster and maintain a civil justice system that achieves a fair, merits-based resolution of all civil disputes, in a quick and efficient manner, to encourage economic development and job creation in Texas for the benefit of all Texans." Doc. No. 32-1 at 5. Texans for Lawsuit Reform also advocated for Texas Senate Bill 29 in the 2025 Texas Legislative Session. Id. ELECTRONIC ORDER: Before the Court are Plaintiff Vladimir Gusinsky's Certificate of Interested Persons ("Plaintiff's Certificate") (Doc. No. 2) and Defendants Reynolds et al.s Certificate of Interested Persons and Corporate Disclosure Statement of Defendant Southwest Airlines Co. ("Defendants' Certificate") (Doc. No. 16). Plaintiff filed his Verified Stockholder Derivative Complaint, alleging diversity of citizenship jurisdiction under 28 U.S.C. 1332(a). Doc. No. 1 at 9.When the Court's subject matter jurisdiction is based on diversity under 28 U.S.C. 1332(a), Federal Rule of Civil Procedure 7.1(a)(2) requires that the parties each file an additional disclosure statement. The statement must "nameand identify the citizenship ofevery individual or entity whose citizenship is attributed to that party[.]" Fed. R. Civ. P. 7.1(a)(2) (emphasis added). Plaintiff's Certificate fails to identify the citizenship of Plaintiff. SXSW, L.L.C. v. Fed. Ins. Co., 83 F.4th 405, 407 (5th Cir. 2023) ("For natural persons, 1332 citizenship is determined by domicile, which requires residency plus an intent to make the place of residency one's permanent home.") (citing Gilbert v. David, 235 U.S. 561, 568-69 (1915)). Plaintiff must identify his STATE citizenship (NOT residence) within the certificate.Defendants' Certificate also fails to include the required citizenship disclosure statement. The certificate must identify the citizenship of each and every Defendant. For diversity purposes, a corporation is a citizen "of any State by which it has been incorporated and the State where it has its principal place of business." 28 U.S.C. 1332(c); see J.A. Olson Co. v. City of Winnona, 818 F.2d 401, 404 (5th Cir. 1987); see also Hertz Corp. v. Friend, 559 U.S. 77, 92 (2010) (corporation's principal place of business is its "nerve center," meaning "the place where a corporation's officers direct, control, and coordinate the corporation's activities.").Therefore, the Court ORDERS both Plaintiff and Defendants to file their respective amended certificates of interested persons to include this citizenship disclosure as required by Rule 7.1(a)(2) by September 3, 2025.
