The Court find two aspects of the parties' Employment Agreement substantively unconscionable: (a) the loser-pay provision in paragraph 20 to the extent it permits ESKCO to recover from Plaintiff its attorney fees, and (b) the imposition of the AAA's Commercial Rules rather than the AAA's Employment Rules; and 2.
