MEMORANDUM OPINION AND ORDER. Defendants' Motion Regarding Governing Law 29 is GRANTED as follows: (a) The Court holds that South Dakota Law governs the distributorship agreement at issue in this case; (b) Count I of the Verified Amended Com plaint (Violation of the Minnesota Agricultural Equipment Dealership Act) 66 is DISMISSED WITH PREJUDICE.
