TEXT ORDER: Upon review of Plaintiffs #8 Amended Complaint, Plaintiff still fails to properly plead the basis of the Courts subject matter jurisdiction. Plaintiff now identifies Defendant Premier Entertainment AC as a limited liability company. (Id. at 1). The citizenship of an LLC is determined by the citizenship of each of its members. Zambelli Fireworks Mfg. Co. v. Wood, 592 F.3d 412, 418 (3d Cir. 2010) (citation omitted). Additionally, where an LLC has, as one of its members, another LLC, the citizenship of unincorporated associations must be traced through however many layers of partners or members there may be to determine the citizenship of the LLC. Id. at 420 (quoting Hart v. Terminex Intl, 336 F.3d 541, 543 (7th Cir. 2003)). Therefore, it is hereby ORDERED that Plaintiff properly plead factual allegations to show subject matter jurisdiction within seven (7) days of this Order. Failure to do so will result in the dismissal of its Complaint for lack of jurisdiction. So Ordered by Judge Robert B. Kugler on 4/12/2024. (lm)
