Notation Order: This matter is before the Court on the Motion for Preliminary Injunction filed by the fifteen corporate Counterclaim-Plaintiffs (collectively, "Sub-Merchants") and one individual Counterclaim-Plaintiff, Gina Stagnitto ("Stagnitto"). (Doc. 21). Sub-Merchants request a Preliminary Injunction on the basis of their equitable claims for conversion and money had and received, and Stagnitto requests a Preliminary Injunction on the basis of her equitable request for the imposition of a constructive. ( Id. PageID 482-86); (Doc. 21-4 PageID 762). Sub-Merchants and Stagnitto assert that the Court must apply California law to these equitable counterclaims and, in doing so, cite a copy of the IBP Sub-Merchant Agreement and its choice of law provision that provides for the application of California law to the respective contracts between IBP and each Sub-Merchant. (Doc. 21 PageID 482) (citing (Doc. 2-2 PageID 323)). Stagnitto is not a party to an IBP Sub-Merchant Agreement, a fact that she argues vigorously in her Motion for Sanctions. (Doc. 24). As the Court's jurisdiction to hear this case is based on diversity of citizenship, and the IBP Sub-Merchant Agreement choice of law provision would presumably apply only to IBP and Sub-Merchants' respective contract claims and counterclaimsnotwithstanding that provision's arbitration provisionthe Court ORDERS IBP and Sub-Merchants and Stagnitto to provide supplemental briefing, not to exceed ten (10) pages, regarding the proper substantive lawCalifornia or Ohiothat the Court must apply to its equitable counterclaims analysis in its Opinion and Order on the Motion for Preliminary Injunction. See Erie v. Tompkins , 304 U.S. 64 (1938); Blaha v. A.H. Robins & Co. , 708 F.2d 238, 239 (6th Cir. 1983) (per curiam). Order Setting Settlement Conference: Settlement Conference set for 2/17/2022 at 11:00 AM by Zoom for Government before Magistrate Judge Stephanie K. Bowman. Due to the ongoing COVID-19 pandemic and the current health restrictions that are in place, the mediation will be by video conference (Zoom for Government). Should the parties strongly desire the Court's consideration of an in-person mediation, counsel shall advise the chambers of the undersigned, in writing, at least 14 days prior to the conference, why the mediation cannot be effective by video conference, the total number of participants (counsel and client representatives) they anticipate being present at the mediation and if anyone would be traveling from outside the Greater Cincinnati area to attend the mediation. The Court shall then determine, after considering the risks, if an in-person mediation with social distancing and mask wearing will be accommodated. After a good faith assessment of the value of the case, Plaintiff shall submit a demand that is less than the full good faith value of the case to Defendants by 1/4/2022. Defendants, after the same good faith assessment, must then respond with an offer that is greater than zero by 1/18/2022. The parties should thereafter engage in continued settlement discussions in an attempt to resolve the matter prior to the settlement conference.
