The Court finds that the documents in question are privileged and that the fiduciary exception does not apply. As one court within this district has noted, "[f]requently, the key determinant is whether the communication occurred before or after a final decision to deny benefits.... [T]he fiduciary exception may not apply as soon as the initial decision to deny benefits is made." Libby v. Unum Life Ins. Co. of Am., No. 16-cv-11896, 2018 U.S. Dist. LEXIS 62668, at *8 (D. Mass. Mar. 12, 2018). Here, Defendants have provided evidence supporting their position that the communications at issue were limited to discussions about appeals of Defendants' denial of claims. See [ECF No. #127 and related exhibits]. In other words, the privileged communications were not about the review and denial of a claim, but about an insured's appeal after "the initial decision to deny benefits" was made.In addition, for the 33 documents at issue, Defendants state that the asserted privilege relates to legal advice on appeals of claim denials for wilderness services in this case and in a case that was substantially similar to this one. [ECF No. #127 at 15-16]. The majority of courts to consider the issue in this context have found that the exception does not apply when litigation is pending or imminent. See Libby, 2018 U.S. Dist. LEXIS 62668, at *7-8 ("The critical inquiry with respect to the liability exception is whether a 'divergence of interests and a threat of litigation [exists] such that it is warranted for the fiduciary to obtain confidential advice from counsel and assert attorney-client privilege on the matter against the beneficiary.'").In light of Defendants' representations and where Plaintiffs have made only general assertions that the redactions are relevant to claim denials and are not privileged, Plaintiffs have failed to meet their burden of showing that the materials are not privileged or that the fiduciary exception applies.
