Based on the pleadings to date, it is unclear if diversity jurisdiction exists in this case. In the amended complaint, plaintiff AFACR, LLC d/b/a A. & F. Air Conditioning and Refrigeration is alleged to be a limited liability corporation duly organized and existing under the laws of the Commonwealth of Massachusetts having a usual place of business in Medway, Norfolk County, Massachusetts. No facts have been alleged with respect to the constituent members of AFACR, LLC in the amended complaint or the notice of removal, but the citizenship of a limited partnership or a limited liability company is to be determined by the citizenship of its members. Carden v. Arkoma Assoc., 494 U.S. 186, 195-96 (1990); Pramco, LLC v. San Juan Bay Marina, Inc., 435 F.3d 51 (1st Cir. 2006). As the removing party, defendant Sentinel Insurance Company Limited bears the burden of establishing that diversity jurisdiction exists.
